Legal Definition

We are registered in England and Wales as a Community Interest Company, a type of Limited Company Limited by Guarantee. Our company number is 14335309.

We were formed on September 5th 2022, initially with five Board Directors. We're based at 310 Wellingborough Road, Northampton, England, NN1 4EP, and we have no share capital.

Our Group Company Secretary is Xiaolu Chen who is also our Chief Financial Officer.​​​​

What is STM as an organisation?

We are regulated by the Regulator of Community Interest Companies, and we pay tax to HM Revenue & Customs. Group Executive is responsible for tax returns and communication with these bodies.

We are required by the Regulator and Companies House to keep an up-to-date Articles of Association available, which can be downloaded from the Companies House server. We have not updated the Articles of Association since incorporation as yet.​​​​​​

How is STM legally governed?

The Board of Directors is a non-operational committee of Sustainable Transport Midlands, which currently has six members. Three of these members sit within Sustainable Transport Midlands in various departments, and three are completely independent and do not work for Sustainable Transport Midlands.

The Board of Directors is chaired by an independent Board Director, Owen O'Neill, in his capacity as Board Chairperson. A full up-to-date list of Board Directors can be found on Companies House. The current Chief Executive Officer and Company Secretary are always Board Directors.

Who leads STM on the legal side?

The Articles of Association govern how the Board of Directors operates, and what happens to Sustainable Transport Midlands in certain circumstances. For example:

• Asset locks governing where our assets will go to should we fall into administration.

• Definition of 'Not for profit'.

• Our objects and primary activities.

• Our Operating Region.

• Powers of the company.

• What defines a member of the company.

• Policies surrounding the Group Board Chairperson.

• Board Director decision-making.

• Conflicts of Interest within Board.

• Appointment and termination of Board Directors.

• Accounts and tax returns.
